Every value above is copied from the offering's deal-terms file. "Subject to final documents" means the founder has not yet resolved that term and counsel has not reviewed it.

Identified initial acquisition

One property is identified. It is not under contract.

2277 N Peachtree Way, Dunwoody, GA 30338 (DeKalb County). A due-and-payable HUD-insured Home Equity Conversion Mortgage estate sale serviced by a HUD contractor.

  • A prior short-sale approval at $465,500 gross (net to HUD not less than $464,020.84) expired.
  • A revised as-is appraisal has been reported at $390,000. The report is not on file.
  • The proposed price is $370,500, the 95% floor HUD's rule permits. No written acceptance of that price is on file.
  • The proposed price does not pass the vehicle's own underwriting screen at the renovation proposal on file. That departure is an open founder decision (founder flag F-21).
  • Related-party disclosure. A person affiliated with the Sponsor is connected to the seller estate, and a principal of the Sponsor is named as guarantor on a bridge-loan request for the property that has not closed. Any acquisition would be an affiliated transaction requiring the disclosure and consent mechanics of the operating agreement.
  • Buyer entity and acquisition funding are open. No investor should assume this property will be acquired.
Principal risks

The offering documents carry the full set. These are the ones to read first.

No operating history

The Sponsor has never sponsored a vehicle. Investors are relying on a plan, a process, and named individuals, not a record.

Semi-blind pool

Only one property is identified and it is not under contract. Capital may be deployed into assets investors have not seen.

Illiquidity

Restricted securities, no public market, transfers only with Manager consent. Plan to hold to liquidation.

Related-party acquisition

The identified property involves persons connected to the Sponsor on both sides. Conflicts are disclosed and governed by the operating agreement, not eliminated.

Renovation and market

Renovation budgets, holding periods, and resale values are assumptions until a bid and a broker opinion exist. Costs rise; markets soften.

Loss of capital

An investor may lose the entire investment. No return is promised. Any illustration is hypothetical and is not a guarantee.

Verification

Accredited investors only, verified.

Under Rule 506(c) the Manager must take reasonable steps to verify each purchaser's status. Self-certification alone does not satisfy the rule, and the $50,000 minimum investment is not by itself a verification safe harbor.

Accepted paths

A fourth path in the rule, prior investment in a Rule 506(b) offering by the same issuer, is unavailable: Y3K Markets has made no prior offering.

  1. Income: IRS forms for the two most recent years plus a representation for the current year.
  2. Net worth: bank, brokerage, or appraisal statements dated within the prior three months plus a consumer report and a representation of all liabilities.
  3. Written confirmation within the prior three months from a registered broker-dealer, SEC-registered investment adviser, licensed attorney, or certified public accountant.

Verification happens through the counsel-approved questionnaire, not through this website.
